Terms of Service
Effective date: October 11, 2026 Last updated: October 11, 2026
1. Agreement to these terms
These Terms of Service ("Terms") form a binding agreement between you and DevelopPlay Studio LLC ("Linni," "we," "us," "our") governing your access to and use of the Linni website, applications, and services (collectively, the "Service").
By creating an account, accepting an invite, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you accept these Terms on behalf of a school, studio, or other organization, you represent that you have the authority to bind that organization, and "you" refers to both you and the organization.
2. What Linni is
Linni is a lesson-to-home practice bridge for private music schools, after-school programs, and independent music teachers, starting with piano lessons.
The core workflow:
1. A teacher leaves a short lesson note after class. 2. The parent sees clear practice tasks for their child. 3. The parent confirms "we practiced" with one tap. 4. The teacher and school see the practice return.
Linni is not a scheduling system and not a tuition-billing system. It is the practice and retention layer that connects the lesson to home.
3. Eligibility; children and parental consent
3.1 Who may hold an account
- You must be at least 18 years old to create or hold a Linni account (as a school admin, teacher, or parent).
- Students never have accounts. A student exists in Linni only as a record created and managed by their school, teacher, or parent. A child may not create, hold, or directly use a Linni account under any circumstances.
3.2 Parental consent for children's records
- A parent joins Linni by invite only. There is no public parent sign-up.
- When a parent accepts an invite and creates a profile for their own child, that acceptance is recorded as the parent's consent for Linni to collect and process the child's information described in our Privacy Policy, for the sole purpose of providing the Service.
- For children under 13, this consent is obtained in compliance with the federal Children's Online Privacy Protection Act (COPPA). Linni does not knowingly collect personal information from a child under 13 without verifiable parental consent, and the invite-acceptance flow is the mechanism by which that consent is obtained.
- In accordance with the New York Child Data Protection Act, personal data of users aged 13 to 17 is processed only as strictly necessary to provide the Service or with informed consent, and never for marketing, advertising, or sale.
3.3 School and teacher warranties regarding children
By inviting a parent or creating a student record, the school and the teacher represent and warrant that:
- they have the right to invite that parent and to create that child's record;
- they have obtained any consent required by applicable law before doing so; and
- they will promptly remove or correct records if consent is withdrawn or was never valid.
4. Accounts and roles
Linni has four customer roles:
- School Admin — manages the school: teachers, students, parent invites, plans, and billing. A school admin can see every teacher's students and the parent contact for each student in their school.
- Teacher — leaves lesson notes for assigned students and sees practice returns. A teacher employed by a school does not manage billing; the school admin does. An independent teacher acts as their own admin.
- Parent — joins by invite only and sees only their own children. Parents confirm practice and receive lesson updates.
- Student — not an account holder. See Section 3.
There is also an internal Linni Operator console used only by the Linni team for support and administration. It is separate from the customer app, access is restricted and audited, and it is not part of the Service offered to customers.
You are responsible for keeping your login credentials confidential and for all activity under your account. You must not share your login or allow anyone outside your role to access your account. Notify us promptly of any unauthorized use.
5. Free Beta
- The free Beta lasts 6 weeks from the account's Beta start date.
- A school Beta covers the first 10 students. An independent-teacher Beta covers the first 5 students.
- During Beta, points are honor points only. They become redeemable only on a paid plan that includes the Rewards add-on.
- We may end a Beta early for misuse, suspected fraud, or technical reasons.
- After the Beta ends without an upgrade: the account and its data remain viewable — we do not delete a school's data as a surprise — but new activity is paused (no new students, notes, books, invites, points, or other new workflow records) until the account upgrades to a paid plan.
6. Paid plans and pricing
Prices are in USD, exclusive of applicable taxes. Current monthly plans:
| Plan | Price/mo | Included |
|---|---|---|
| School Starter | $49 | Up to 20 active students |
| School Studio | $99 | Up to 50 active students |
| School Plus | $179 | Up to 100 active students |
| Over 100 students | Custom | By agreement |
| Rewards add-on | +$20 / +$40 / +$70 (Starter / Studio / Plus) | Makes Music Points redeemable for standard gift items |
| Independent Teacher Solo | Free up to 5 students, then $19/mo up to 30 students | — |
| Parents | Free | — |
We may change prices for future billing periods with at least 30 days' notice (see Section 8.4). Price changes never apply retroactively to a paid period.
7. Billing
7.1 Billing in advance; payment method
- Paid plans are billed in advance for each billing period (monthly).
- You authorize us (through our payment processor) to charge your designated payment method automatically at the start of each billing period until you cancel.
- You must keep your payment information current. Failed payments may lead to paused access after notice.
7.2 Automatic renewal — New York disclosures
To comply with New York's automatic-renewal law:
- Before you complete a purchase, we present the renewal terms clearly and conspicuously, in visual proximity to your consent: what renews, the amount charged, the billing frequency, and how to cancel.
- We do not charge your payment method for an automatic renewal without first obtaining your affirmative consent (a separate, unchecked-by-default consent action — never a pre-checked box).
- After purchase, we send an acknowledgment you can retain (email receipt) that includes the renewal terms, the cancellation policy, and how to cancel.
- If you enrolled online, you can cancel entirely online — no phone call required. Cancellation is available in your account settings and by email to mylinni2025@gmail.com.
- If plan terms change materially (including price changes), we notify you clearly and conspicuously before the change takes effect and explain how to cancel.
7.3 Taxes
You are responsible for applicable taxes. Taxes are calculated at checkout based on your billing location and added to the plan price where required.
8. Cancellation, no proration, no refunds
8.1 How to cancel
You may cancel at any time:
- in your account settings ("Billing" → "Cancel plan"), or
- by emailing mylinni2025@gmail.com from your account email address.
Cancellation is effective immediately upon our receipt of your request for purposes of stopping future renewals.
8.2 When cancellation takes effect — no mid-cycle changes
- Cancellation takes effect at the end of your current paid billing period. If you cancel mid-month, your plan remains active until the end of that month, and no further charges occur afterward. In other words: cancellation is effective next billing cycle, not immediately.
- The same rule applies to plan changes: upgrades, downgrades, and add-on changes requested mid-cycle take effect at the start of the next billing period. You keep your current plan until then.
8.3 No proration
- We do not prorate charges or credits. There are no partial-month charges and no partial-month credits or refunds for unused time, whether you cancel, downgrade, or change plans mid-cycle.
- If you upgrade mid-cycle, the new plan price applies from the next billing period; you are not charged the difference for the current period.
8.4 No refunds
- All fees are non-refundable. This includes monthly plan fees, add-on fees, and any custom-plan fees, whether or not you used the Service during the paid period.
- The sole exceptions are: (a) duplicate or erroneous charges caused by us, which we will refund within 30 days of verification; and (b) refunds required by applicable law, which apply notwithstanding this section.
- Chargebacks filed in place of a cancellation request do not constitute cancellation; Section 8.2 still applies.
9. Points, stickers, and Rewards
- Practice confirmations earn stickers and streaks only — never spendable points.
- Music Points (spendable): at most 1 point per lesson per student, and at most 5 points per student per calendar month. Points are honor points unless the account's plan includes the Rewards add-on.
- Without the Rewards add-on, points have no cash or redemption value and cannot be exchanged for goods.
- With the Rewards add-on, points are redeemable for the standard gift items in the monthly school box, distributed by the school in class. Points have no cash value, are non-transferable, and expire under the program rules we publish.
- We may adjust point balances that were awarded in error or through misuse.
10. School and teacher responsibilities
- Enter accurate student and parent information.
- Obtain all parent consents required by law before creating children's records (Section 3.3).
- Teachers are responsible for the content of their lesson notes.
- Schools are responsible for their internal use of practice-engagement reports.
- Schools using Rewards are responsible for distributing gift items to the right students in class. Linni does not collect home addresses for gift shipping.
- Do not use Linni to send unsolicited messages to parents who did not join through an invite.
- School questions about scheduling, billing, complaints, or teacher fit must be directed to the school office — Linni is not a channel for those matters, and teachers must not be given parent-message inboxes or reply duties through the Service.
11. Acceptable use
You may not:
- Enter false, misleading, or unlawful information.
- Share logins, or let anyone outside your role access your account.
- Attempt to access other schools', teachers', or families' data.
- Copy, scrape, harvest, or resell Linni's book catalog or content.
- Reverse-engineer, or attempt to extract source code from, the Service.
- Interfere with or disrupt the Service, or circumvent access controls.
- Use the Service for any illegal purpose or in violation of applicable law, including laws protecting children's privacy.
We may suspend or terminate accounts that violate these Terms or applicable law, with or without prior notice where reasonably necessary to protect the Service or its users.
12. Intellectual property
- The Service, including its software, design, text, and the Linni book catalog as a compilation, is owned by DevelopPlay Studio LLC or its licensors and is protected by intellectual-property laws.
- We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service as permitted by these Terms.
- Lesson notes and other content you enter ("Customer Content") remain yours. You grant us a license to host, process, and display Customer Content solely to provide the Service.
13. Third-party services and content
- The Service relies on third-party providers (including database hosting, email delivery, book-metadata sources such as Open Library and Google Books, and AI providers used for features like note structuring and the practice helper). We do not control these providers and are not responsible for their availability, accuracy, or actions.
- Book metadata from external sources may contain errors. A teacher must confirm a book before it is added to the shared catalog; Linni does not warrant the accuracy of third-party book data.
- Email and notification delivery depends on third-party networks and is not guaranteed.
14. Disclaimers
PLEASE READ THIS SECTION CAREFULLY. IT LIMITS OUR OBLIGATIONS.
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL SUCH WARRANTIES.
- We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
- Linni is a practice-communication tool. We make no guarantee of any educational outcome, skill improvement, or practice result. Nothing in the Service constitutes professional music-instruction advice, and the Service is not a substitute for a teacher's professional judgment.
- We are not responsible for the content of lesson notes, practice tasks, or any Customer Content, nor for decisions schools, teachers, or parents make based on information in the Service.
- AI-assisted features (such as note structuring or the practice helper) may produce inaccurate or incomplete output. You are responsible for reviewing AI-assisted content before relying on it.
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
15. Limitation of liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEVELOPPLAY STUDIO LLC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE FEES YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM AROSE (OR $100 IF YOU PAID NO FEES).
- THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE, TO THE EXTENT PERMITTED BY LAW.
- Nothing in these Terms limits liability that cannot be limited by law (including liability for gross negligence, willful misconduct, or violations of consumer-protection statutes that prohibit such limitations).
16. Indemnification
You agree to indemnify, defend, and hold harmless DevelopPlay Studio LLC and its officers, employees, and agents from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Customer Content you provide; (c) your violation of these Terms; or (d) your violation of law, including children's-privacy obligations under Section 3.
17. Governing law and disputes
- These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
- Informal resolution first: before filing any claim, you agree to contact us at mylinni2025@gmail.com and attempt to resolve the dispute informally for 30 days.
- Any dispute not resolved informally will be resolved by binding individual arbitration administered in New York, New York, under the rules of the American Arbitration Association (AAA), except that either party may bring an individual claim in small- claims court. There is no jury trial and no class action: you and we each waive any right to participate in a class, collective, or representative action.
- Notwithstanding the above, either party may seek injunctive relief in court to protect intellectual property or confidential information.
18. General provisions
- Entire agreement: These Terms plus the Privacy Policy are the entire agreement regarding the Service.
- Severability: If any provision is unenforceable, the rest remains in effect, and the provision will be reformed to the minimum extent necessary.
- No waiver: Failure to enforce a provision is not a waiver of it.
- Assignment: You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure: Neither party is liable for delays caused by events beyond reasonable control (including internet or third-party service failures).
- Notices: We may notify you by email or in-app notice; you may notify us at mylinni2025@gmail.com.
- Survival: Sections 8 (for paid periods), 13, 14, 15, 16, and 17 survive termination.
19. Changes to these Terms
We may update these Terms. For material changes, we will notify account holders (in-app and/or by email) at least 30 days before the new terms take effect. Continued use after the effective date constitutes acceptance. If you do not agree to a material change, you may cancel under Section 8 before it takes effect.
